Description of Services

Clever AI Labs LLC provides AI infrastructure, intelligent software development, SaaS platforms, AI agent systems, and related technology services. Our services include, but are not limited to:

• Custom AI and machine learning solutions development.
• Cloud-based AI infrastructure and GPU server provisioning.
• Software-as-a-Service (SaaS) platform development and hosting.
• AI agent and conversational AI system design and deployment.
• Enterprise software development, consulting, and integration services.
• API services and developer tools.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice.

Use of Services

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use our services in any way that violates any applicable federal, state, local, or international law or regulation.
• Exploit, harm, or attempt to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
• Transmit or procure the sending of any advertising or promotional material, including spam, chain letters, or any other similar solicitation, without our prior written consent.
• Impersonate or attempt to impersonate Clever AI Labs LLC, a company employee, another user, or any other person or entity.
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of our services, or which may harm us or users of our services.
• Use any robot, spider, scraper, or other automated means to access our services for any purpose without our express written permission.
• Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of our services, the server on which our services are stored, or any server, computer, or database connected to our services.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any software or proprietary technology used in our services.

User Accounts

Certain features of our services may require you to create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain and promptly update your account information to keep it accurate, current, and complete.
• Maintain the security and confidentiality of your login credentials and restrict access to your account.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized access to or use of your account.

We reserve the right to disable any user account at any time if, in our opinion, you have failed to comply with any provision of these Terms.

Payment Terms

For paid services, you agree to pay all fees associated with the services you select. Fees are non-refundable except as required by law or as otherwise stated in a separate agreement. We reserve the right to change our pricing at any time, with advance notice provided to existing customers.

If you fail to make any payment when due, we may suspend or terminate your access to the applicable services. You are responsible for all taxes applicable to your use of our services, excluding taxes based on our net income.

Payment processing is handled by third-party payment processors. By providing payment information, you agree to the terms of service and privacy policies of those processors.

Intellectual Property

All content, features, and functionality of our services -- including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation thereof -- are the exclusive property of Clever AI Labs LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use our services for your personal or internal business purposes, subject to these Terms. This license does not include:

• Any resale or commercial use of our services or their contents without our express written consent.
• Any collection or use of any product listings, descriptions, or prices.
• Any derivative use of our services or their contents.
• Any downloading, copying, or account information for the benefit of any third party.
• Any use of data mining, robots, or similar data gathering and extraction tools.

Any content you submit, post, or otherwise make available through our services remains your property. However, by submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content solely for the purpose of providing and improving our services.

Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Neither party shall use the other party's confidential information except as necessary to perform its obligations or exercise its rights under these Terms. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, is independently developed without use of the disclosing party's confidential information, or is lawfully received from a third party without restriction.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLEVER AI LABS LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of, or inability to access or use, our services.
• Any conduct or content of any third party on our services.
• Any content obtained from our services.
• Unauthorized access, use, or alteration of your transmissions or content.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER. THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS.

Indemnification

You agree to defend, indemnify, and hold harmless Clever AI Labs LLC, its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of our services, your violation of any rights of a third party, or any content you submit or make available through our services.

Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use our services will cease immediately.

All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States of America and the State of Wyoming, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or our services shall be resolved exclusively in the federal or state courts located in Sheridan County, Wyoming, and you consent to the personal jurisdiction of such courts.

Any claim or cause of action you may have arising out of or relating to these Terms or our services must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be severed from these Terms. The validity and enforceability of the remaining provisions of these Terms shall not be affected.

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and Clever AI Labs LLC concerning your use of our services. These Terms supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding our services.
